BY ACCESSING OR USING THIS WEBSITE IN ANY MANNER, INCLUDING, WITHOUT LIMITATION, BROWSING, READING, DOWNLOADING, OR SUBMITTING INFORMATION YOU, AND/OR YOUR AUTHORIZED LEGAL REPRESENTATIVES, ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE LEGALLY BOUND BY THESE TERMS AND ALL APPLICABLE LAWS AND REGULATIONS. 1. Definitions

As used in these Terms and Conditions, the following definitions apply:

“AIP” or “Company” means Ascend IP, LLC, a Washington limited liability company, with a place of business at 7683 SE 27th St. #476, Mercer Island, WA 98040.

“Site” or “SITE” means the website located at ascendip.com, including all content, features, functionality, and services offered on or through the website.

 

“User,” “You,” or “Your” means any individual, entity, or their legal representatives who accesses, browses, views, or otherwise uses the Site in any manner.

“Content” means all text, information, data, images, graphics, logos, button icons, audio clips, digital downloads, data compilations, and other materials available on or through the Site.

2. Acceptance of Terms; Mandatory Agreement

By accessing or using this Site, You individually and on behalf of any entity You represent or for which You act as a legal representative unconditionally and irrevocably agree to these Terms in full. Access to or use of this Site without such agreement is strictly prohibited.

If You are accessing or using the Site on behalf of another person, corporation, partnership, or other legal entity, You represent and warrant that You have full legal authority to bind that person or entity to these Terms, and Your agreement hereto constitutes the legal, valid, and binding obligation of that person or entity.

AIP reserves the right, in its sole discretion, to modify or update these Terms at any time without prior notice. Any such modifications shall be effective immediately upon posting to the Site. Your continued use of the Site following the posting of revised Terms constitutes Your acceptance of such changes. You are responsible for periodically reviewing these Terms for updates.

3. Nature of AIP; IP Services Provider; IT Services

AIP provides intellectual property and agent services to third party clients or other entities who may own or have the right to license intellectual property in the form of patents, trademarks, trade secrets or copyrights.  AIP does not own or have the right to assert, litigate or license such client property rights which are solely controlled by such clients. AIP may authorize the use under limited license of the ascendip.com domain, email, and branding to certain third parties or other entities. The names and descriptions of AIP’s clients may be referenced or listed on the Site. By accessing or using the Site, You acknowledge and agree to each of the following:

(a) Any entity other than AIP using the Ascendip.com domain or e-mail may be a permitted licensee of the AIP domain or brand, but its or their actions or communications are not those of Ascend IP, LLC, or AIP’s employees, managers, members or agents except as explicitly stated therein, and the Terms and Conditions and Privacy Policy of any such permitted user shall govern any such communications of them.

(b) AIP owns no patents. AIP has no ability to and does not license, assert, enforce, grant rights under, or provide defenses based upon any patent right of its own or of others. Any and all patent related licensing rights, enforcement rights, and related rights or defenses are held exclusively, if at all, by AIP’s licensees or clients, individually in their own names or at their direction on their behalf.

(c) Only AIP’s licensees and clients, each acting independently and in their own legal capacity, possess any ability to license, assert, grant rights under, or raise defenses based on any of their patent or other intellectual property.

(d) Any action, communication, assertion, enforcement action, licensing transaction, or other act taken by any licensee or client of AIP is the sole act of that licensee or client as an independent legal entity, and shall not be attributed to, imputed to, or deemed to be an act of AIP.

(e) Nothing on this Site shall be construed as an assertion, offer, or license of any patent, intellectual property right, or other right by AIP itself.

(f) Any confidentiality, privilege, or work-product protection attaching to such communications inures to the benefit of such client or entity, as applicable, and may be asserted by such entity.  AIP may have a common interest privilege in maintaining any such protection for its clients or authorized users and no waiver of any such privilege shall be implied or effective and all such party(ie)’s rights are reserved.

4. Indemnification; Defense and Hold Harmless

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU AGREE TO DEFEND, INDEMNIFY, AND HOLD HARMLESS AIP AND ITS MANAGERS, MEMBERS, OWNERS, OFFICERS, AGENTS, REPRESENTATIVES, EMPLOYEES, ATTORNEYS, SUCCESSORS, ASSIGNS, AND AFFILIATES (COLLECTIVELY, “INDEMNIFIED PARTIES”) FROM AND AGAINST ANY AND ALL CLAIMS, DEMANDS, ACTIONS, PROCEEDINGS, LOSSES, DAMAGES, LIABILITIES, COSTS, AND EXPENSES (INCLUDING REASONABLE ATTORNEYS’ FEES AND COURT COSTS) ARISING OUT OF OR RELATED TO:

(a) ANY CLAIM OR ALLEGATION THAT AIP HAS COMMUNICATED, ASSERTED, OFFERED TO LICENSE, OR OTHERWISE INVOKED ANY PATENT RIGHT, PATENT DEFENSE, OR INTELLECTUAL PROPERTY RIGHT OF ANY KIND UNLESS AIP HAS DONE SO EXPRESSLY IN ITS OWN NAME AS AIP, AND NOT DUE TO ANY ACTION OF ONE OF AIP’S LICENSEES OR CLIENTS;

(b) ANY CLAIM THAT A COMMUNICATION BY OR ON BEHALF OF ANY LICENSEE OR CLIENT OF AIP CONSTITUTES OR SHOULD BE ATTRIBUTED TO A COMMUNICATION BY AIP ITSELF, RATHER THAN THE LICENSEE OR CLIENT;

(c) YOUR ACCESS TO OR USE OF THE SITE IN VIOLATION OF THESE TERMS;

(d) YOUR VIOLATION OF ANY APPLICABLE LAW, REGULATION, OR THIRD-PARTY RIGHT IN CONNECTION WITH YOUR USE OF THE SITE;

(e) ANY CONTENT, INFORMATION, OR MATERIALS YOU SUBMIT TO OR THROUGH THE SITE; OR

(f) YOUR BREACH OF ANY REPRESENTATION, WARRANTY, OR OBLIGATION UNDER THESE TERMS.

This indemnification obligation shall survive termination of these Terms and Your use of the Site.

5. Limitation of Liability; Disclaimer of Warranties

THE SITE AND ALL CONTENT, MATERIALS, INFORMATION, AND SERVICES PROVIDED ON OR THROUGH THE SITE ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. AIP EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, TITLE, ACCURACY, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING, COURSE OF PERFORMANCE, OR USAGE OF TRADE.

AIP DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT DEFECTS WILL BE CORRECTED. AIP MAKES NO WARRANTY REGARDING THE ACCURACY, COMPLETENESS, RELIABILITY, OR TIMELINESS OF ANY CONTENT ON THE SITE.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL AIP OR THE INDEMNIFIED PARTIES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, BUSINESS INTERRUPTION, OR COST OF SUBSTITUTE GOODS OR SERVICES, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF OR INABILITY TO USE THE SITE, EVEN IF AIP HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL AIP’S TOTAL AGGREGATE LIABILITY TO YOU EXCEED ONE HUNDRED U.S. DOLLARS ($100.00).

6. Intellectual Property Rights

All Content on the Site, including but not limited to text, graphics, logos, images, data compilations, and software, is the property of AIP or its licensors, and is protected by applicable United States and international copyright, trademark, trade secret, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to only access and view the Content on the Site solely for your personal, non-commercial informational purposes and in exchange for your agreement to the terms and conditions contained herein. You may not reproduce, distribute, modify, display, perform, publish, create derivative works from, or in any other manner exploit any Content without the prior written consent of AIP.

AIP shall have no obligation, and has no authority, to respond to, mediate, or otherwise address any inquiry or dispute that properly belongs to, or concerns the actions of, any of AIP’s licensees or clients.

11. Governing Law; Jurisdiction and Venue

THESE TERMS AND ANY DISPUTE, CLAIM, OR CONTROVERSY ARISING OUT OF OR RELATING TO THESE TERMS, THE SITE, OR YOUR USE THEREOF SHALL BE GOVERNED BY AND CONSTRUED IN ACCORDANCE WITH THE LAWS OF THE UNITED STATES OF AMERICA AND THE STATE OF WASHINGTON, WITHOUT REGARD TO ITS CONFLICT OF LAW PROVISIONS.

YOU EXPRESSLY AGREE THAT EXCLUSIVE JURISDICTION AND VENUE FOR ANY CLAIM OR DISPUTE WITH AIP, OR IN ANY WAY RELATING TO YOUR USE OF THIS SITE, SHALL RESIDE IN THE UNITED STATES FEDERAL COURTS LOCATED IN WASHINGTON, SPECIFICALLY THE UNITED STATES DISTRICT COURT FOR THE WESTERN DISTRICT OF WASHINGTON, WHERE AIP HAS A REGISTERED ADDRESS. YOU HEREBY IRREVOCABLY CONSENT TO THE PERSONAL JURISDICTION OF SUCH COURTS, WAIVE ANY OBJECTION TO SUCH VENUE (INCLUDING ON THE BASIS OF INCONVENIENCE OF FORUM), AND AGREE NOT TO BRING ANY ACTION IN ANY OTHER COURT.

Nothing in these Terms shall limit AIP’s right to seek equitable relief in any court of competent jurisdiction.

12. Dispute Resolution; Waiver of Jury Trial

YOU AND AIP EACH WAIVE ANY RIGHT TO A JURY TRIAL IN ANY ACTION, PROCEEDING, OR CLAIM ARISING OUT OF THESE TERMS, THE SITE, OR YOUR USE THEREOF, TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW. SUCH WAIVER SHALL NOT APPLY TO ANY ACTION, DEFENSE OR PROCEEDING BROUGHT BY OR AGAINST ANY AIP CLIENT OR AIP LICENSED ENTITY, NOR FOR SUCH CLIENT’S OR ENTITY’S DEFENSE OR INDEMNIFICATION OF AIP HEREUNDER.

Prior to commencing any legal proceeding, You agree to first provide AIP with written notice of Your claim or dispute and to make a good-faith effort to resolve the matter informally for a period of thirty (30) days following such notice. Nothing in this provision shall prevent AIP from seeking emergency injunctive or other equitable relief in a court of competent jurisdiction.

13. Termination of Access

AIP reserves the right, in its sole discretion, to terminate or restrict Your access to the Site at any time, for any reason, without notice and without liability to You. All provisions of these Terms that by their nature should survive termination including, without limitation, provisions regarding intellectual property, disclaimers, indemnification, limitations of liability, and governing law shall survive such termination.

14. Electronic Communications; Consent

By using this Site, You consent to receive communications from AIP in electronic form. You agree that all agreements, notices, disclosures, and other communications that AIP provides to You electronically satisfy any legal requirement that such communications be in writing.

15. No Waiver; Severability

AIP’s failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. If any provision of these Terms is found by a court of competent jurisdiction to be invalid, illegal, or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions of these Terms shall continue in full force and effect.

16. Entire Agreement

These Terms, together with any other policies or agreements referenced herein (including AIP’s Privacy Policy), constitute the entire agreement between You and AIP with respect to Your use of the Site and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the same subject matter.

17. Assignment

You may not assign or transfer any of Your rights or obligations under these Terms without AIP’s prior written consent. AIP may freely assign its rights and obligations under these Terms without restriction. Any purported assignment in violation of this section shall be null and void.

18. Force Majeure

AIP shall not be liable to You for any delay or failure to perform any obligation under these Terms if such delay or failure is due to circumstances beyond AIP’s reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, government action, labor disputes, power outages, or internet or telecommunications failures.

19. Acknowledgment

BY ACCESSING OR USING THIS SITE, YOU EXPRESSLY ACKNOWLEDGE THAT:

(a) YOU HAVE READ THESE TERMS AND CONDITIONS IN THEIR ENTIRETY;

(b) YOU UNDERSTAND THESE TERMS AND CONDITIONS AND AGREE TO BE BOUND BY THEM;

(c) YOU HAVE THE LEGAL AUTHORITY TO ENTER INTO THIS AGREEMENT INDIVIDUALLY OR ON BEHALF OF THE ENTITY YOU REPRESENT;

(d) AIP IS AN IP SERVICES AND DOMAIN MANAGEMENT COMPANY WITH NO PATENT RIGHTS AND NO ABILITY TO LICENSE, ASSERT, OR GRANT RIGHTS UNDER ANY PATENT; AND

(e) ANY USE OF THIS SITE WITHOUT AGREEMENT TO THESE TERMS IS EXPRESSLY UNAUTHORIZED AND PROHIBITED.
